1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Business Marketing Systems Pty Ltd (ABN 25 139 675 559), trading as BitcoinAdvantage ("BitcoinAdvantage", "we", "us", "our"), governing your access to and use of the BitcoinAdvantage website, consultations, and educational services.

By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services. These Terms are governed by the laws of New South Wales, Australia and comply with Australian Consumer Law.

2. Our Services

BitcoinAdvantage provides:

• Bitcoin Education: Educational content, guides, and resources about Bitcoin
• Consultation Services: 1-on-1 and group sessions covering Bitcoin basics, security, and strategy
• Exchange Onboarding: Guided sessions to help you set up exchange accounts (e.g., Gemini)
• Portfolio Review: Security audits and best practice recommendations
• Tax Review Service: Sessions with qualified Chartered Accountants (see section 3)
• Free Community Sessions: Group educational sessions via Zoom
• AI Assistant: 24/7 chatbot for general Bitcoin education questions

3. Tax Review Service

The Tax Review Service is delivered by independent, registered Chartered Accountants who are qualified to provide tax advice in Australia.

• BitcoinAdvantage facilitates the booking and payment process only
• The Chartered Accountant maintains their own professional indemnity insurance
• The Chartered Accountant is bound by their professional obligations to CA ANZ or CPA Australia
• Tax advice provided is subject to the Accountant's own terms and conditions
• BitcoinAdvantage is not responsible for the tax advice provided

For complex tax situations, the Chartered Accountant may recommend ongoing engagement directly with their practice.

4. Booking and Payment

4.1 Booking Process

Consultations are booked via our website. Upon booking, you will receive confirmation and session details (Zoom link, calendar invite) via email.

4.2 Payment

Payments are processed securely by Stripe. All prices are in Australian Dollars (AUD) unless otherwise stated. We do not store your credit card details. Payment is required at the time of booking.

4.3 Pricing

Current pricing is displayed on our consultation page. Prices may change with notice. Existing bookings are honored at the price paid.

5. Cancellation and Refunds

5.1 Cancellation by You

• 48+ hours notice: Full refund or reschedule at no charge
• 24-48 hours notice: 50% refund or reschedule with $50 fee
• Less than 24 hours: No refund; reschedule subject to availability and full fee
• No-show: No refund; session considered delivered

5.2 Cancellation by Us

If we need to cancel a session due to unforeseen circumstances (consultant illness, emergency), you will be offered a full refund or priority rescheduling at your choice.

5.3 Rescheduling

Sessions may be rescheduled with at least 24 hours notice, subject to consultant availability. Rescheduled sessions must be used within 60 days of the original booking date.

5.4 Consumer Guarantees

Your rights under Australian Consumer Law are not affected by these Terms. If our services fail to meet consumer guarantees, you may be entitled to a refund regardless of our policy above.

6. Your Responsibilities

6.1 Accurate Information

You must provide accurate information when booking sessions. We need correct contact details to send you session links and follow-up materials.

6.2 Technical Requirements

For video consultations, you are responsible for having a stable internet connection, working webcam and microphone, and the Zoom application or browser access.

6.3 Your Own Research

While we provide education and guidance, you are responsible for conducting your own research and making your own decisions regarding Bitcoin. We encourage you to verify information from multiple sources.

6.4 Security of Your Bitcoin

You are ultimately responsible for the security of your own Bitcoin, including:

• Safeguarding your seed phrases and private keys
• Securing your devices and accounts
• Following security best practices we teach
• Never sharing sensitive information (seed phrases, passwords) with anyone, including us

7. Acceptable Use

You agree NOT to:

• Record sessions without explicit consent from all participants
• Share session materials, recordings, or resources with non-participants
• Use our services for illegal purposes or to facilitate illegal activity
• Abuse, harass, or threaten our staff or other participants
• Attempt to obtain personal financial advice when we are not licensed to provide it
• Impersonate others or provide false information
• Use automated systems to abuse our website or AI assistant
• Attempt unauthorized access to our systems

8. Intellectual Property

8.1 Our Content

All content on BitcoinAdvantage.com, including text, graphics, educational materials, session recordings, and documentation, is copyright 2025 Business Marketing Systems Pty Ltd unless otherwise stated. You may not reproduce, distribute, or create derivative works without permission.

8.2 Session Materials

Materials provided during your consultation (recordings, action plans, summaries) are licensed for your personal use only. You may not share or resell these materials.

8.3 Third-Party Content

Our website may reference third-party products, services, or content (exchanges, wallets, etc.). These remain the intellectual property of their respective owners. References do not imply endorsement.

9.1 Not Financial Advice

9.2 Bitcoin Risks

Bitcoin is a volatile asset. Its price can fluctuate significantly. Past performance does not indicate future results. You could lose some or all of your investment. Only invest what you can afford to lose. We strongly encourage you to seek independent financial advice before making any investment decisions.

9.3 Not Tax Advice (General Services)

Our general consultations (excluding the Tax Review Service) do not constitute tax advice. For tax matters, consult a qualified accountant or use our Tax Review Service with a Chartered Accountant.

9.4 Third-Party Services

We may recommend or mention third-party services (exchanges, wallets, tools). We are not responsible for their availability, performance, security, or changes to their services. You use third-party services at your own risk.

9.5 Exchange Onboarding

Our exchange onboarding sessions help you set up accounts on cryptocurrency exchanges. We are not affiliated with these exchanges. The exchange relationship is between you and the exchange. We are not responsible for exchange policies, fees, or any issues that arise.

10. Limitation of Liability

10.1 Liability Cap

To the maximum extent permitted by law, our total liability for any claims arising from these Terms or use of our services is limited to the amount you paid us for the specific service giving rise to the claim.

10.2 Exclusions

We are not liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to: lost profits, loss of Bitcoin value, data loss, or business interruption.

11. Termination

11.1 By You

You may stop using our services at any time. For booked sessions, see our cancellation policy (Section 5).

11.2 By Us

We may refuse service or terminate access for:

• Violation of these Terms
• Abusive or inappropriate behavior
• Fraudulent payment or chargebacks
• Requests for services we cannot legally provide (financial advice)
• At our discretion with reasonable notice

11.3 Effect of Termination

Upon termination, any unused session credits may be refunded at our discretion. Materials provided for completed sessions remain yours for personal use.

12. Dispute Resolution

If you have a dispute with us:

2. Formal Complaint: We will respond within 10 business days
3. Escalation: Unresolved complaints escalate to management
4. Mediation: External mediation before litigation

These Terms are governed by the laws of New South Wales, Australia. The courts of NSW have exclusive jurisdiction over any disputes.

13. Changes to Terms

We may update these Terms periodically. Material changes will be notified via email or website notice 30 days before taking effect. Continued use after changes constitutes acceptance. If you disagree with changes, you should stop using our services.

14. General Provisions

• Entire Agreement: These Terms, our Privacy Policy, and any booking confirmations constitute the complete agreement
• Severability: If any provision is unenforceable, others remain in effect
• No Waiver: Failure to enforce a right does not waive it
• Assignment: You may not assign your rights without our consent
• Force Majeure: Neither party liable for delays due to circumstances beyond reasonable control
